Terms of Service

By creating an account or using Vince Staples Fan Pass (the “Service”), operated by Blacksmith Holdings, Inc. (“we”, “us”, “our”), you agree to these Terms of Service (“Terms”) and to our Privacy Policy. If you do not agree, do not use the Service.

Blacksmith Holdings, Inc. also operates the main artist site at vincestaples.co under separate terms and conditions covering merchandise purchases. These Terms govern the Fan Pass application specifically.

You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) to use the Service, and you represent that you have the legal capacity to enter into these Terms. By using the Service you also represent that you are not barred from using it under any applicable law.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at vincestaplesteam@gmail.com if you suspect unauthorized access.

You agree not to:

• Use the Service for any unlawful purpose or to infringe anyone’s rights.
• Attempt to game challenges, achievements, or rewards through automation, scripts, or coordinated inauthentic behavior. Detected abuse may result in forfeiture of XP, currency, or account suspension.
• Reverse engineer, decompile, or interfere with the Service.
• Submit content (photos, text, chat messages) that infringes intellectual property, harasses others, or violates any law.

The Service integrates with third-party platforms including YouTube, Spotify, Discord, and Shopify. By connecting any of these accounts, you authorize us to retrieve the data described in our Privacy Policy.

Because the Service uses YouTube API Services, by using the Service you also agree to be bound by the YouTube Terms of Service. Information we receive from YouTube is governed by the Google Privacy Policy and our own Privacy Policy.

You can revoke our access to your YouTube account at any time by visiting your Google Account permissions page or by disconnecting YouTube from your fan profile in the Service.

XP, currency, achievements, and shop items are part of an in-app rewards program. They have no cash value, are non-transferable, and may be modified or revoked at our discretion (for example, in cases of fraud or platform changes outside our control). Physical or digital prizes redeemed through the shop are subject to availability and any additional terms communicated at the time of redemption. Prizes that are physical merchandise are fulfilled subject to the same shipping and returns terms as the main vincestaples.co store.

You retain ownership of content you upload (photos, text submissions, chat messages). By submitting content you grant Blacksmith Holdings, Inc. a non-exclusive, worldwide, royalty-free license to host, display, edit, copy, distribute, translate, and otherwise use that content as needed to operate the Service (for example, showing your photo submission on a challenge card, or your chat command on the live stream overlay).

You represent and warrant that you own or otherwise have the right to submit any content you upload, and that the content does not violate any third-party right.

The Service, including its design, code, graphics, and the artist imagery and assets it displays, is owned by Blacksmith Holdings, Inc. and its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our or our licensors’ trademarks, logos, or other branding without prior written permission.

You may stop using the Service and delete your account at any time by contacting vincestaplesteam@gmail.com. We may suspend or terminate your account at any time, with or without notice, if in our judgment you have violated these Terms or if we discontinue the Service. Sections of these Terms that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will continue to apply.

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that defects will be corrected.

To the maximum extent permitted by law, Blacksmith Holdings, Inc. and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.

You agree to indemnify, defend, and hold harmless Blacksmith Holdings, Inc. and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of New York and the United States, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in New York, New York for any dispute arising out of or relating to these Terms or the Service.

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates to this page. The “Last updated” date at the top reflects the most recent change. Continued use of the Service after changes constitutes acceptance of the revised Terms.
